This bill, titled the "PROTECT USA Act of 2025," aims to prevent certain U.S. businesses from being subjected to foreign sustainability due diligence regulations. Specifically, it prohibits "entities integral to the national interests of the United States" from complying with such foreign regulations, including the European Union's Corporate Sustainability Due Diligence Directive . An entity is considered integral if it does business with the Federal Government, or is organized under U.S. law and involved in specific extractive or manufacturing sectors, or the production of arms, national defense products, or critical minerals . The prohibition includes any foreign law requiring assessment, action, and reporting on environmental or social impacts, unless it is substantively similar to a U.S. law. However, entities may still undertake actions in the ordinary course of business or to comply with U.S. statutes. The bill establishes a process for entities to petition the President for an exemption from this prohibition if they face particular hardship. Furthermore, it prohibits any person from taking adverse action against a protected entity for complying with this Act and stipulates that foreign court judgments related to these regulations will not be recognized in U.S. courts. The President is mandated to protect these entities, and a private right of action is created, allowing aggrieved entities to seek relief and damages, while violators face civil penalties up to $1,000,000 and potential ineligibility for federal contracts.
